These Terms of Use (“Terms”) govern your access to and use of the SpoonSeal website and platform (the “Service”) provided by SpoonSeal LLC (“SpoonSeal,” “we,” “us”). By creating an account or using the Service, you agree to these Terms.
1. Not legal, compliance, or professional advice
SpoonSeal is an informational and organizational tool. The Compliance Guide, readiness scores, reminders, and Spoon AI responses are general information, not legal, regulatory, or professional advice, and do not guarantee that you will pass any inspection or meet any legal requirement. Requirements change and vary by jurisdiction. You are responsible for verifying obligations with the applicable authorities (for example, your local health department, fire marshal, or a qualified professional) before relying on anything in the Service.
2. Accounts & eligibility
You must be at least 18 and able to form a binding contract, and you are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials secure and notify us of any unauthorized use.
3. Your content
You retain ownership of the documents, records, and information you upload (“Your Content”). You grant SpoonSeal a limited license to host, process, and display Your Content solely to operate and provide the Service to you and the vendors and team members you authorize. You represent that you have the rights to upload Your Content and that it does not violate any law or third-party right.
4. Acceptable use
- Do not use the Service for anything unlawful, infringing, or harmful.
- Do not upload data you lack the right to share, or attempt to access another organization’s data.
- Do not probe, scrape, overload, reverse-engineer, or disrupt the Service or its security.
- Do not misuse the Spoon assistant to generate unlawful, deceptive, or abusive content.
5. Vendors & third parties
SpoonSeal helps you request and collect compliance evidence from vendors, but we are not a party to your relationship with any vendor and are not responsible for a vendor’s performance, documents, or conduct. Verify vendor-supplied documents yourself.
6. The Spoon AI assistant
Spoon is an AI feature that can produce inaccurate or incomplete information. It is provided for convenience only, without warranty, and must not be relied upon as a substitute for official sources or professional advice. See the Trust Centerfor our Responsible-AI practices.
7. Plans, trials & fees
Some features are free or offered on a trial basis; paid plans and their fees, if any, will be disclosed before you incur a charge. We may change plans or pricing prospectively with notice.
8. Intellectual property
The Service, including its software, design, and content (excluding Your Content), is owned by SpoonSeal and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL RESULT IN COMPLIANCE OR A PASSED INSPECTION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOONSEAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU PAID NOTHING).
11. Indemnification
You agree to indemnify SpoonSeal against claims arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination (e.g. ownership, disclaimers, limitation of liability) will survive.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except where applicable law provides otherwise.
14. Changes
We may update these Terms; we will revise the “Last updated” date and, for material changes, provide notice. Continued use means acceptance.
